Capping off a week that saw General Motors’ share price take a 31% hit in a single day comes a new report claiming the carmaker is in talks with Chrysler over a possible merger deal. According to an inside source familiar with the talks, GM approached Chrysler more than a month ago to discuss an acquisition and other “mutual interests”.

GM had already been in talks with Chrysler’s current owner, Cerberus Capital Management, over the sale of its portion of GMAC, however the rough state of financial markets eventually took its toll on the auto-lending firm, and this in turn lead to a breakdown in talks, the source revealed during an interview with the Wall Street Journal.

In the latest round talks, GM is reportedly keen to trade its remaining 49% stake in GMAC for Cerberus’ 80.1% stake in Chrysler’s automotive operations. This would give Cerberus complete ownership of GMAC, while GM would own the 80.1% stake in Chrysler and Germany’s Daimler AG would retain its 19.9% portion.

While GM’s share price and current financial state may make it appear to be in a poor position to take control of Chrysler, the source said both parties are keen to move their remaining assets quickly and a merger still has a “50-50” chance of being approved. A final decision, however, isn’t expected for several weeks at least.

GM also announced on Friday that it had ruled out seeking bankruptcy protection, claiming that such a decision is not in the best interests of its employees, stockholders, suppliers or customers, and that its North American restructuring plan is still on track.

كشفت صحف أميركية عن محادثات أولية بين شركتي السيارات جنرال موتورز الكبرى وكرايسلر الصغرى لإجراء اندماج من شأنه توحيد الشركة الأولى والشركة الثالثة لصناعة السيارات في الولايات المتحدة وسط مساع لخفض التكاليف وتعزيز السيولة.

وأفادت صحيفتا نيويورك تايمز وول ستريت جورنال أن المفاوضات تعكس تزايد القلق في ديترويت حول المنافسة التي تواجهها الشركات الأميركية أمام شركات صناعة السيارات اليابانية وإدراك حاجة صناعة السيارات في الولايات المتحدة إلى عمليات إعادة هيكلة.

وبدأت المحادثات بين جنرال موتورز و"سيربيروس كابيتال مانجمنت" المالكة لحصة نسبتها 80.1% من كرايسلر قبل أكثر من شهر.

ولا يزال التوصل لاتفاق بين الجانبين غير مؤكد وستستغرق المفاوضات أسابيع أخرى، ولكن مصدرين قريبين من هذه المفاوضات قالا إن فرصة الاندماج بين الشركتين تقدر بنسبة 50%.

وأفادت مجلة بارونز المالية أن جنرال موتورز استعدت للاتصال ببنك الاحتياطي الاتحادي حول اقتراض مال منه جراء الأزمة في أسواق الائتمان التي لم تمكن الشركة من الحصول على أنواع الاقتراض الأخرى.

وجاءت هذه التحركات بالتزامن مع انخفاض مبيعات السيارات الأميركية إلى أقل مستوى لها منذ 15 عاما وسط مخاوف من تداعيات الأزمة المالية الاقتصادية.

وذكر المصدر أن الصفقة ستتوقف على إتمام بيع الحصة المتبقية لدايملر أيه جي في كرايسلر البالغة 19.9% لسيربيروس التي أوضحت الشهر الماضي اتصالها بدايملر لشراء تلك الحصة المتبقية.

The first reports claiming talks of a merger between industry giants General Motors and Chrysler emerged as recently as a week and a half ago but the latest buzz is that a final announcement could be made within two weeks. USA Today has reported on its website that both companies are looking to wrap up the merger talks before the presidential election on November 4.

The information was revealed by an inside source familiar with the negotiations. They also claim that both GM and Chrysler are lobbying for further government financial assistance to help seal the deal, and that the outcome will depend on whether the costs savings from potential synergies would outweigh the difficulties that come with combining firms with overlapping product lines and vastly different corporate cultures.

Analysts have criticized GM's plans to merge with Chrysler, mostly because of the overlapping of brands and products. The savings, however, are expected to be substantial, and on top of this Chrysler has $11 billion in cash reserves. Most of the cost savings would be generated by consolidating dealer networks and administrative procedures, merging brands and cutting staff.

Currently, Chrysler has around 3,500 dealers while GM has 6,500. Combining the two would result in around 10,000 dealers, resulting in a gross overlap of resources.

Others are less optimistic about the possible merger. GM's current strategy reflects the need to avoid overcrowding various segments, which would conflict with an acquisition of the similarly marketed Chrysler brands.

However, GM is not the only suitor knocking on Chrysler's door, with reports claiming Renault is also considering playing some role in the sale. There remains a distinct possibility that Chrysler could be broken up between Renault and GM.

Meanwhile, Chrysler's current owner Cerberus Capital Management is also nearing a deal with Daimler to purchase the former parent’s 19.9% stake in the company. According to Reuters, any deal done with either GM or Renault would be dependent on Cerberus acquiring the remaining shares of Chrysler. At the same time, Cerberus could also end up swapping Chrysler with GM for the remaining portion of auto-lending firm GMAC, which it already owns a 51% stake and GM the other 49%.

As the potential merger between General Motors and Chrysler becomes clearer in detail, it is beginning to look less and less likely due to problems with the financing necessary for GM to complete the deal. Government aid could bridge the gap, but so far nothing along those lines has been proposed.

Executives at GM are confident they can acquire what it wants of Chrysler and improve its own position, but outsiders think such a result neglects the financial realities of the purchase, reports Autmotive News. Acquiring Chrysler would cost GM a great deal of cash - something it does not have an abundance of at the moment, despite a large quantity on the books. Financing the purchase is likewise not a strong option given the current status of the United States' major lending institutions and GM's own credit risk rating.

Chrysler is also carrying $9 billion in debt that would need to be either paid off or refinanced upon acquisition, further complicating matters for the merger. GM had nearly $21 billion in cash at the middle of the year, but was using about $1 billion per month at the time, and likely even more now as the market continues to slide. It must still generate another $4-5 billion in cash to pay off 30,000 to 40,000 union jobs that could be cut in a merger between the two companies if the deal does move forward.

Government funding for the merger, if made available, could potentially salvage the deal and stave off some of the massive layoffs that would otherwise be necessary. Excess capacity for a combined and presumably streamlined operation would still necessitate some layoffs, but if the merged company wasn't forced to deal with raising billions in cash through cost-cutting, it might be able to hold on to more of the workers currently employed by both companies.

GM does have the possibility of trading its remaining stake - 49% - in GMAC to Cerberus, owner of Chrysler, for all or part of its 81% share in the company, but that, too is fraught with debt and other difficulties. Nevertheless, the parties are charging forward, with a possible announcement within two weeks time.
